COURSE DESCRIPTION

This course, which follows the course in Comparative Company Law examines in detail the principle features of corporation law in the United States. Among the subjects are: organization and structure of closely-held corporations, regulation of capital structure and corporate distributions, liabilities of corporate officers and directors, derivative suits, the proxy system, and corporate acquisitions and combinations. These subjects will be examined in the context of contemporary corporate transactions, with an exploration of the differences between the legal structure of the United States and the EC.
