The course will focus on the comparative law analysis of the most significant contractual forms of international business transactions. Selected complex contractual problems will be assessed from the Central European economic and legal perspectives. Actual problem exercises will involve the students' participation in the negotiation and drafting of international business contracts. Within this framework the course covers selected topics on: the emerging new lex mercatorie and the UNCITRAL - Vienna Convention on Contracts for the International Sale of Goods from a comparative law perspective - negotiating and drafting contracts for (1) the export sale of a factory (2) a distributorship agreement (3) licensing agreement (4) international loan agreement.
